Terms and Conditions

1. This document confirms the terms and conditions of your agreement with JTB Pte Ltd (UAN198702728K), a company registered
    in Singapore, to be a registered Agent for selling the travel products available in the JTBAP Online Travel Management System
    to your customers.


2. In this Agreement, "we", "us" and "our", “JTBAP” shall mean JTB Pte. Ltd. Singapore and "you", "your" and "yours" shall mean
    the Agent or Registered User.

3. The following capitalized terms shall have the following meanings:

      “Agent” refers to an entity which has registered with JTBAP on the JTBAP Web System and has been approved
      by JTBAP to sell JTBAP’s Products;

      “Amendment Policy” refers to the terms governing the amendment of a Booking as set out in Clauses 49 to 51
      of the agreement titled “System Booking Terms and Conditions”;

      “APHQ-GTMS” refers to the JTAP Online Travel Management System;

      “Application Form” refers to the form for the application to be a registered Agent, which may be filled in on
      the JTBAP Web System;

      “Order” means a request made by you to purchase the Products using the APHQ-GTMS;

      “Booking” means an order made for less than ten (10) free and independent travellers (FIT) by you with us using
      the APHQ-GTMS, which is accepted by us in accordance with the terms and conditions of this Agreement;

      “Cancellation Policy” refers to the terms governing the cancellation of a Booking as set out in Clauses 44 to 48
      of the agreement titled “System Booking Terms and Conditions”;

      “Confirmation” means a written confirmation sent by e-mail by us confirming a Booking;

      “Credit Limit” means the maximum amount of credit, in US currency, which JTBAP extends to selected registered Agents;

      “JTBAP Web System” refers to JTBAP’s online registration system at http://jtb-cso.com;

      “Links” shall have the meaning assigned to it in Clause 6 of this Agreement;

      “Pre-approved Payment Terms” means the terms of payment set out by JTBAP at the time of the Agent’s registration;

      “Products” means the travel, tour and accommodation products and/or services offered by JTBAP which are available
      on the APHQ-GTMS; and

      “Special Event Periods” means periods specified by us as to when trade fairs, exhibitions, major conferences and other
      major events are being held at the relevant location(s). Such periods include public holidays and eve of public holidays.


4. You must register in the JTBAP Web System before making any booking. Your acceptance as an Agent is at our sole discretion
    and the decision cannot be changed.

5. Upon our acceptance of your application to become an Agent, you will be

      a) issued with a booking ID and password; and

      b) authorised to make bookings of Products for your customers through the APHQ-GTMS.

6. We will make available to you both the graphic and textual APHQ-GTMS links (the “Links”) which may be displayed on the computer
    desktops of your employees. The Links will link you to the APHQ-GTMS.


7. You will not misrepresent the relationship between you and us nor create the impression that your customers are our customers.


8. We reserve the right to change the prices offered on the APHQ-GTMS at any time but this will not affect the price of any Bookings
    that have already been confirmed. Prices may differ to reflect any movement in exchange rate levels.

9. The prices on the APHQ-GTMS are shown in USD currency.

10. The prices on the APHQ-GTMS are confidential and are not to be disclosed other than as may be required by law.


11. Upon the Confirmation of the Booking, APHQ-GTMS will issue an invoice to you. This invoice must be paid in accordance with the
      Pre-approved Payment Terms agreed between you and JTBAP.

12. JTBAP will extend the prevailing Credit Limit to selected Agents only. In the event where the Credit Limit is insufficient,
      you must pay online for the amount requested at the time of the Confirmation of the Booking. This also applies
      to any additional charges for amendments made to the Bookings.

13. Online payment can be done using the APHQ-GTMS payment gateway or by bank remittance to the company account of JTBAP.
      Payments made on-line by credit card must be made in full (i.e. the gross amount). The credit card payment acceptance will be
      provided by the bank and we do not hold any responsibility or liability if the credit card payment is rejected by the bank.
      We will also not be responsible at any time if the online payment gateway is not available due to any technical or non-technical
      reason. For Bookings that have been paid by credit card, a service fee may apply. This service fee will be made known at the
      time of the Booking and will be decided by JTBAP.

14. The payments made by bank transfer, local currency cheque or cash must match the booking currency and be sent to
      us with the name of your agency and our Booking ID attached for all Bookings being settled with that payment. When paying
      by bank transfer you must forward a copy of the transfer slip, your location, agent ID and booking ID(s) on the same day
      either by email or fax to the address stated in the ‘Contact Us’ section of this website.

15. In the event where the payment is not received by the due date, we will assume that the Booking is no longer required
      and we will cancel the Booking and release the allotment.


16. For items indicated as "Available" on the APHQ-GTMS, you will usually receive an email confirming the Booking within
      two minutes, sent to the email address which you provided us with when you signed on.

17. For items indicated as “On Request” on the APHQ-GTMS, we will respond to you within one (1) working day advising whether
      the items have been confirmed or not. If you have entered credit card details at the time of placing the Booking,
      no payment will be processed until the items have been confirmed.

18. In the event that we are unable to confirm the initial accommodation requested, an alternative may be offered and an
      email will be sent to inform you of the details and the action to take if you wish to accept the alternative suggestion.
      No payment will be processed unless you accept the alternative.

19. When the items have been confirmed and the invoice has been issued, you will be able to print the travel arrangement
      or hotel vouchers for your customer. The vouchers must be presented at the reception at the time of arrival or
      check-in, or to the service provider, as evidence that the services have been booked and paid for in advance.
      Failure to present the voucher may result in (1) your customers being charged again at the full service
      provider’s published rates; or (2) the service not being provided.

20. Bookings made for Special Event Periods may incur special booking conditions. You will be notified if these conditions
      apply, at the time of booking. Such conditions may impose a 100% cancellation and/or a no-refunds policy for certain
      dates. The Agent must ensure that it understands the Cancellation Policy clearly before confirming the Booking.

21. You agree that you will use your best endeavours to promote the Products on the APHQ-GTMS to your customers and
      encourage them to purchase the Products through you.


22. JTBAP will make a refund for Bookings which have been paid for in full, provided that the Bookings are eligible for
      refunds in accordance with the Cancellation Policy and the Amendment Policy.

23. Refunds will usually take between seven (7) and fifteen (15) working days to be credited back to the credit card,
      although certain banks may take a longer time to credit the refund. For bookings that have been paid by credit card, a service
      fee may apply in the event the Bookings are cancelled. This service fee will be made known at the time of the Booking and is
      subject to prevailing JTBAP policy.

24. Bookings which are not settled by credit card will be refunded by making adjustments to the Credit Limit or by bank remittance.


25. We may modify any of the terms and conditions of this Agreement at any time and in our sole discretion by posting a
      notice of change and the Agreement as modified on the APHQ-GTMS. We will notify you by email of the change at least seven (7)
      days prior to the implementation if the change. Your continued usage of the APHQ-GTMS will constitute binding acceptance by
      you of the change.


26. This Agreement shall, subject to Clauses 27 and 28 below, continue until terminated by either party giving thirty (30) days
      written notice to the other party by email. In the event where we terminate the Agreement, a notice will be sent to the
      email address stated in your Application Form unless you have provided us with a written notice of a change in your email address.
      Any final payment may be withheld for a reasonable time to ensure compliance with the terms and conditions of this Agreement.

27. We may terminate this Agreement with immediate effect without giving notice in the event that you have breached the
      terms and conditions of this Agreement. The right to terminate this Agreement given by this Clause shall not prejudice
      any other right or remedy available to us in respect of the breach concerned (if any) or any other breach.

28. The termination of this Agreement for whatever cause shall not affect any provision of this Agreement which shall survive
      or operate (expressly or by implication) in the event of termination of this Agreement.


29. You warrant that you have obtained the necessary licences to operate your business as a travel agent in the relevant
      country and that you comply with all applicable laws and regulations in that country. You agree to indemnify JTBAP for
      any liability incurred as a result of a breach of this warranty.

30. We make no express or implied warranties or representations with respect to the APHQ-GTMS or any products sold through
      the APHQ-GTMS including, without limitation, warranties of fitness, quality, non-infringement, or arising out of a course
      of dealing, performance, or trade usage. We also make no representation that the operation of the APHQ-GTMS will be
      uninterrupted or error-free, and we will not be liable for any interruptions, errors and/or consequential loss and/or damage.


31. JTBAP provides hotels, transportation and other travel services which may have been purchased directly from third party
      suppliers. As such we are not liable for any personal injury, illness, property damage or any other loss (direct or indirect)
      or expense arising out of the actions of the hotels, transportation companies and/or other suppliers providing services which
      have been reserved through us.

32. In no event will we be liable for any damages resulting from loss of data or use, lost profits or anticipated savings, nor
      for any damages arising as an indirect or secondary consequence of anything done or not done by us, whether such damages were
      reasonably foreseeable or actually foreseen.


33. You shall indemnify, defend and hold us, our parent company, directors, officers, employees and representatives harmless
      from any and all claims, demands, actions, liabilities, losses, judgments, settlements and causes of action against us in
      connection with any and all injuries, losses, damages or liability of any kind whatsoever (except for indirect or consequential damages)
      that is directly attributable to:

      (a) the breach by you of any term, provision, representation, warranty or requirement under this Agreement; or

      (b) the negligence or wilful misconduct by you, your affiliates, contracts or agents.

34. This indemnification obligation shall include, without limiting the generality of the foregoing, reasonable legal fees and
      other costs or expenses incurred in connection with the defence or settlement of any and all claims, demands, actions or causes
      of action.


35. You may not assign this Agreement to any party without our prior written consent. Subject to this, this Agreement shall be
      binding upon, and inure to the benefit of, the parties to this Agreement and their respective successors, heirs, personal representatives
      and permitted assigns, and references to a party in this Agreement shall include its successors and permitted assigns.


36. Nothing in this Agreement will create any partnership, joint venture or agency between us and you.


37. Our failure to exercise, or a delay in exercising, any right or remedy under this Agreement, shall not constitute a waiver
      of the right or remedy or a waiver of any other rights or remedies which we may otherwise have, and no single or partial exercise
      of any right or remedy under this Agreement shall prevent any further exercise of the right or remedy or the exercise of any other
      right or remedy.

38. Any waiver of a breach of any of the terms of this Agreement or of any default under this Agreement shall not be deemed a
      waiver of any subsequent breach or default and shall not affect the other terms of this Agreement.


39. You accept that we may at any time, directly or indirectly, engage in similar arrangements on terms that may differ from those
      contained in this Agreement and that we may operate websites similar to or which compete with the APHQ-GTMS.


40. We sell travel, accommodation and/or tour packages to you which you sell on to consumers as principal, and you will be party
      to the consumers' contracts. You are responsible for complying with all applicable laws in your country governing the sale of
      travel products to consumers including any necessary licenses or insurances, such as but not limited to the Travel Industry
      Compensation Fund (TICF) tour fare levy.


41. The Confirmation, the agreement titled ‘System Agent Terms and Conditions’ and this Agreement represent our entire Agreement
      and as a result, you have not entered into a contract with us on the basis of any representation not expressly incorporated into
      these documents.

42. We reserve the right to change these conditions from time to time without notice.


43. If any term or provision in this Agreement shall be held to be illegal or unenforceable, in whole or in part, under any
      enactment or rule of law, such term or provision or part shall to that extent be deemed not to form part of this Agreement but
      the enforceability of the remainder of this Agreement shall not be affected.


44. A person who is not a party to this Agreement shall have no right under the Contracts (Right of Third Parties) Act to
      enforce any of the terms of this Agreement.


45. This Agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes
      arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.
